Terms of service

These Terms of Service ("Terms") are a binding agreement between Remold Technologies (a partnership firm registered in India, GSTIN 24ABNFR4980N1ZE, registered office at B-6002, Ascon Plaza, Anand Mahal Road, Adajan, Surat, Gujarat 395009, India), which operates the IndiSell brand ("IndiSell", "we", "us"), and the business or person ("you", the "Merchant") that installs or uses the IndiSell checkout service (the "Service"). By installing, accessing or using the Service — or by clicking to accept — you agree to these Terms, our Privacy Policy and Refund & Cancellation Policy, which are incorporated by reference. If you use the Service on behalf of an organisation, you confirm you are authorised to bind it.

1 · Definitions

  • Service — the IndiSell checkout layer, merchant dashboard, APIs, widget and related features.
  • Merchant / you — the account holder using the Service on its own store.
  • Shopper — an end customer who checks out on your store.
  • Gateway — a payment gateway/aggregator you connect (e.g. Razorpay, PayU, Cashfree, PhonePe).
  • Fees — the amounts payable to us for the Service as set out in your dashboard billing.

2 · Eligibility & account

You must be at least 18 and capable of entering a contract, and you must operate a lawful business. You are responsible for the accuracy of your registration details, for safeguarding your credentials, and for all activity under your account and the roles you assign to your team. Tell us immediately at hello@indisell.io about any suspected unauthorised access. Role-based access and the audit log exist so you can control and review your team's activity.

3 · The Service

IndiSell provides a checkout layer for your online store: OTP-verified one-click checkout, cash-on-delivery (COD) and RTO risk controls, an offers/coupons engine, abandoned-cart recovery messaging, shipping rules, analytics and server-side ad-conversion reporting, managed from a merchant dashboard.

  • Orders are created in your own store (e.g. your Shopify store); your agreement with that platform continues to govern your store.
  • The Service is a technology layer. It is not a payment gateway, payment aggregator, wallet or money-transmitter, and it never holds Shopper funds.
  • You can disable the widget at any time; your platform's native checkout resumes instantly.

4 · Payments belong to you

Payments are processed through Gateway accounts that you own and control. Your agreements with your Gateways govern authorisation, settlement, chargebacks, disputes and refunds. Funds settle directly to you; we never receive or hold them. Where the dashboard offers actions such as one-click refunds, it merely instructs your Gateway on your behalf — you remain responsible for the underlying transaction and its compliance.

5 · Fees, billing & taxes

  • Pricing is agreed per Merchant — pay-per-order, or a plan plus commission — and is stated in your dashboard's billing section, with periodic statements and invoices.
  • Fees are exclusive of applicable taxes (including GST), which we may add and you agree to pay.
  • Pricing changes take effect from the next billing cycle and never retroactively.
  • Undisputed amounts are due as invoiced. After reasonable notice, non-payment may lead to suspension or termination.
  • Except as stated in our Refund & Cancellation Policy, Fees already due are non-refundable.

6 · Messaging & marketing compliance

Cart-recovery and order messages are sent on your behalf, using your templates and sender identities where configured. You are solely responsible for having a valid lawful basis and consent to contact your Shoppers, and for complying with WhatsApp Business policy, TRAI/DLT registration and any other rules applicable to your templates and channels. We enforce opt-outs and platform rules where the channel provides them, and may pause messaging that appears non-compliant.

7 · Acceptable use

You agree not to use the Service to, or to permit anyone to:

  • sell unlawful, restricted or infringing goods or services;
  • deceive Shoppers (e.g. fake reviews, misleading offers or false urgency), or breach consumer-protection law;
  • send spam or unsolicited messages, or message people without a lawful basis;
  • probe, scan, overload, reverse-engineer or attempt to disrupt the Service or its security;
  • access data of other Merchants or Shoppers you are not authorised to access;
  • resell or sublicense the Service without our written consent.

We may suspend or limit accounts that put Shoppers, other Merchants or the platform at risk.

8 · Intellectual property

The Service, software, dashboard, widget, documentation, and the IndiSell name and marks are owned by Remold Technologies and its licensors, and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own store during your subscription. You retain all rights to your own content and your Shoppers' data. You grant us the limited licence needed to host and process that data to provide the Service. If you send us feedback or suggestions, we may use them without restriction or obligation.

9 · Data protection

Your Shoppers' data is yours; you are the Data Fiduciary for it and we process it as a Data Processor on your instructions, as described in the Privacy Policy. We act on your reasonable deletion/export requests and do not sell personal data. Aggregated, de-identified signals (such as network-level COD-risk indicators) are used to operate and improve the risk engine for all Merchants — that shared protection is part of the Service.

10 · Third-party services

The Service integrates with third parties you choose — your e-commerce platform, Gateways, messaging providers and ad platforms. Your use of those services is governed by their own terms, and we are not responsible for their acts, omissions, availability or fees. You are responsible for maintaining valid accounts and permissions with them.

11 · Availability, changes & beta features

We aim for continuous availability but the Service is provided on an "as is" and "as available" basis, without uptime guarantees unless separately agreed in writing. We may modify, add or remove features to improve the Service; we will give advance notice of material reductions where reasonable. Features marked beta/experimental may change or be withdrawn and are provided without warranties.

12 · Warranties disclaimer

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will prevent all fraud, chargebacks or returns — the risk controls reduce, but cannot eliminate, such outcomes.

13 · Indemnity

You will indemnify and hold harmless Remold Technologies, its partners, employees and agents from claims, damages, losses and reasonable costs arising out of: your products or store; your messaging or marketing; your breach of these Terms or of law; or your infringement of a third party's rights.

14 · Limitation of liability

To the extent the law allows, our aggregate liability for all claims arising out of or relating to the Service in any 12-month period is capped at the total Fees you paid us for the Service in that period. Neither party is liable for indirect, incidental, special, punitive or consequential losses, or for lost profits, revenue, goodwill or data. Nothing in these Terms limits liability that cannot lawfully be limited (such as for fraud).

15 · Term & termination

  • These Terms apply while you use the Service.
  • You may stop and uninstall at any time; your platform's native checkout resumes instantly.
  • We may suspend or terminate for material breach (including non-payment or prohibited use) after notice, or immediately where required to protect Shoppers, other Merchants or the platform.
  • On termination, your licence ends. On request we will export and then delete your store's data as described in the Privacy Policy, subject to records we must keep by law. Fees accrued up to termination remain payable.

16 · Confidentiality

Each party may receive non-public information from the other (including pricing, configuration and technical details). Each will use it only to perform under these Terms and protect it with reasonable care, except where disclosure is required by law.

17 · Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control — including internet or hosting outages, third-party platform or Gateway failures, acts of government, natural events, or network attacks.

18 · Governing law & dispute resolution

These Terms are governed by the laws of India. Subject to the below, the courts at Surat, Gujarat have exclusive jurisdiction. The parties will first try in good faith to resolve any dispute amicably; failing that, the dispute may be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Surat, Gujarat, conducted in English. Either party may still seek urgent interim relief from a court.

19 · Changes to these Terms

We may update these Terms as the Service or the law evolves. We will change the "Last updated" date above and give reasonable notice of material changes. Continued use after an update means you accept the revised Terms.

20 · Miscellaneous

  • Entire agreement: these Terms, the Privacy Policy and the Refund & Cancellation Policy are the whole agreement between us on their subject, superseding prior understandings.
  • Assignment: you may not assign these Terms without our consent; we may assign to an affiliate or successor.
  • Severability: if any provision is held unenforceable, the rest remain in effect.
  • Waiver: a failure to enforce a right is not a waiver of it.
  • Relationship: the parties are independent contractors; nothing creates a partnership, agency or employment between them.
  • Notices: we may give notices in-dashboard or by email; you may reach us at the address and email below.
